These Terms of Service ("Terms") govern your access to and use of the services provided by JMK Technologies Inc, dba PropRise ("PropRise," "we," "us," or "our"), including our Primer product and any related services (collectively, the "Service").
By accessing or using the Service, creating an account, or clicking "I agree" during checkout, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Be located in the United States
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable law
The Service is currently available only to users in the United States. We do not knowingly provide services to users outside the United States.
3. Account Registration
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
4. Subscription and Billing
Fees
Access to the Service requires a paid subscription. Current pricing is available on our pricing page and during checkout. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms or required by law.
Billing
Billing terms are as specified during checkout. You authorize us (or our payment processor) to charge your payment method for all fees due. You are responsible for providing valid payment information and ensuring sufficient funds are available.
Refunds
Refunds are provided at PropRise's sole discretion. If you believe you are entitled to a refund, please contact us at jmd@proprise.io.
Price Changes
We may change our prices at any time. Price changes will be communicated in advance and will apply to subsequent billing periods.
5. Data Ownership and Confidentiality
Your Data
You retain all ownership rights to the documents, data, and content you upload to the Service ("Customer Data"). We claim no ownership interest in your Customer Data.
License to Process
By uploading Customer Data, you grant PropRise a limited, non-exclusive license to access, process, and analyze your Customer Data solely for the purpose of providing the Service to you.
Confidentiality
PropRise treats all Customer Data as confidential. We will:
- Not disclose your Customer Data to third parties except as necessary to provide the Service (via our disclosed subprocessors) or as required by law
- Not use your Customer Data for any purpose other than providing the Service to you, except in aggregated, anonymized form as described in Section 6
- Implement reasonable security measures to protect your Customer Data
- Delete your Customer Data upon your request or termination of your account
No AI Training
Your Customer Data will never be used to train artificial intelligence or machine learning models.
6. Aggregated Data
PropRise may collect and use aggregated, anonymized data derived from your use of the Service for analytics, service improvement, research, and other business purposes. Aggregated data will not identify you or your organization and cannot be used to reconstruct your Customer Data.
7. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws
- Upload content that infringes any third party's intellectual property or other rights
- Attempt to reverse engineer, decompile, or disassemble the Service
- Resell, sublicense, or provide access to the Service to third parties
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to any part of the Service
- Use the Service to transmit malware, viruses, or other harmful code
- Use automated means to access the Service except through our published APIs
8. Service Availability
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service is provided on a "best effort" basis. We may:
- Perform maintenance that temporarily affects availability
- Experience downtime due to factors outside our control
- Modify, suspend, or discontinue any aspect of the Service
Support is provided via email. We do not offer a Service Level Agreement (SLA) with guaranteed uptime or response times.
9. Intellectual Property
The Service, including Primer and all related software, designs, logos, trademarks, and documentation, is owned by PropRise and protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service. You may not use our trademarks without our prior written permission.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY
- WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- IN NO EVENT WILL PROPRISE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
11. Indemnification
You agree to indemnify, defend, and hold harmless PropRise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any third-party rights.
12. Termination
Either party may terminate the subscription at any time. Upon termination:
- Your access to the Service will cease
- We will delete your Customer Data upon your request
- You remain responsible for any fees incurred prior to termination
- Sections that by their nature should survive (including Sections 5, 6, 9-14) will survive termination
We may suspend or terminate your access immediately if you violate these Terms or if required by law.
13. Dispute Resolution and Arbitration
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered in the State of Delaware, rather than in court.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class actions or class-wide arbitration.
Informal Resolution
Before initiating arbitration, you agree to contact us at jmd@proprise.io to attempt to resolve any dispute informally.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any legal proceedings (subject to the arbitration clause above) shall be brought in the state or federal courts located in Delaware.
15. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
